The “Tyson Fantasy Flavor League” Promotion (the “Promotion”) commences on 12:00:01 AM Eastern Daylight Time (“EDT”) on October 16, 2009 and ends at 11:59:59 PM EST on February 1, 2010 (the “Promotion Period”).

Administrator/Sponsor: The Promotion shall be administered by Brandmovers, Inc. (“Administrator”) and sponsored by: Tyson Foods, Inc., 2200 Don Tyson Parkway, Springdale, AR 72762 (“Sponsor”).

Eligibility: Open only to legal US residents who are at least 18 years of age or older at time of entry. VOID ELSEWHERE AND WHERE PROHIBITED. Employees and their immediate families (i.e., parents, spouse, children, siblings, grandparents, step parents, step children and step siblings and their respective spouses, regardless of where they reside) and members of the same household, whether or not related) of Administrator and Sponsor, and each of their respective parents, affiliated companies, subsidiaries, advertising and promotion agencies and third party fulfillment or judging agencies (collectively, the “Promotion Entities”) are not eligible to enter the Promotion or win any prize. VOID in Puerto Rico, the U.S. Virgin Islands, U.S. Military installations in foreign countries, and where prohibited, taxed to Sponsor, or restricted by law.

1. How to Enter:

A.) To enter the Promotion go to www.TysonFantasyFlavorLeague.com (“the “Website”) during the Promotion Period and follow the on-screen instructions to: (1) register with Sponsor by completing all required fields contained on the Website (“Registration”); and (2) electronically agree and accept the Official Rules.

The Promotion consists of an “Instant Win Sweepstakes” (“Instant Win Sweepstakes”) and a “Party Master Contest” (“Contest”) as described below:

B.) Instant Win Sweepstakes:  Entrants receive one (1) Instant Win Sweepstakes Entry (“Sweepstakes Entry”) upon completion of the registration process described in Section 1.A. and can receive an additional entry every 24 hour period during the Promotion Period by logging in to the Website. Limit one (1) Instant Win Sweepstakes Entry per person (“Promotion Entrant”) and per email address per 24 hour period. Sponsor reserves the right to disqualify any person or e-mail address that submits more than one entry per day. Any Promotion Entrant who attempts to participate with multiple e-mail and/or street addresses, under multiple identities or uses any device or artifice to enter multiple times in violation of applicable entry limitations may be disqualified. Any use of robotic, repetitive, automatic, programmed or similar entry methods or agents will void all Entries made by, or associated with, the applicable Promotion Entrant. In the event of a dispute over who submitted an Online Sweepstakes Entry, the authorized subscriber of the e-mail account provided in connection with the Online Sweepstakes Entry, as of the actual time of entry, will be deemed to be the Promotion Entrant. The “authorized account subscriber” is defined as the natural person who is assigned an e-mail address by an Internet access provider, online service provider or other organization (e.g. business, education institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. A selected, or potential winning “authorized account subscriber” may be required to provide Sponsor with proof that he/she is the authorized account holder of the e-mail address associated with the applicable Entry. Proof of sending or submission will not be deemed to be proof of receipt by Sponsor. Sponsor and Administrator are not responsible for: lost, late, incomplete, illegible, incorrect, delayed, garbled, undelivered, or misdirected entries.

C.) Party Master Contest: To participate in the Party Master Contest login to the website between December 1, 2009 and February 1, 2010 (“Contest Entry Period”) and click on the “Party Master Contest” TV Screen on the website. Follow on-screen instructions to submit your contest entry (“Contest Entry” or “Submission”). All Submissions must be received by 11:59:59 PM EST on February 1, 2010. Limit one (1) Contest Entry per person or email address.

Contest Entry Guidelines:

• 1.The Contest Entry must contain Entrant’s property only; no other person’s property may be depicted in the Contest Entry, in whole or in part.
• 2.Please do not include any personally identifiable information in your Contest Entry.
• 3.Contest Entry may be in color or black and white and must be in .jpg, .gif, or .png format only with a maximum file size of 2MB.
• 4.All Contest Entries must be an original unpublished work and cannot contain, incorporate or reference anything that is owned by any third party or entity or would require the consent of any third party or entity in any jurisdiction.
• 5.The Contest Entry must not have been submitted previously in any contest of any kind or exhibited or displayed publicly (i.e., disclosed beyond your immediate circle of friends and family through any means previously.

Content Entry Restrictions: The Contest Entry must not contain material that:

• 1. Violates or infringes another’s rights, including but not limited to privacy, publicity or intellectual property rights, or that constitutes copyright infringement;
• 2. Contains material that promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation or age;
• 3. Contains any unacceptable clothing or adornments, or displays any commercial/corporate advertising (including but not limited to corporate logos, brand names, trademarks, slogans, political, personal and religious statements);
• 4. Contains indecent behavior, profanities or obscenities, including but not limited to nudity, or pornography, or is otherwise inappropriate, indecent, profane, obscene, hateful, tortuous, slanderous or libelous;
• 5. References persons or organizations without their written permission;
• 6. Disparages persons or organizations associated with Sponsor;
• 7. Includes threats to any person, place, business, or group;
• 8. Is unlawful, in violation of or contrary to any applicable federal, state, or local law and regulation. Failure of any Contest Entry to comply with the above “Contest Entry Guidelines” and “Content Entry Restrictions”, as determined by Sponsor in its sole discretion, may result in disqualification of Entrant. Without limitation, Sponsor reserves the right in its sole discretion to disqualify any Contest Entry that, in their sole opinion, refers, depicts or in any way reflects negatively upon the Sponsor, the Promotion or any other person or entity, or does not comply with these Official Rules. All Contest Entries shall become the exclusive property of Sponsor and will not be returned. Modifying, enhancing or altering a third party’s preexisting work does not qualify as Entrant’s original creation. Entrant warrants that he or she holds all rights (including intellectual property rights) in and to the image(s)/material(s) contained in the Contest Entry, and agrees to release and hold harmless Sponsor and each of the Promotion Entities, as well as the individual judges, from and against any claim or cause of action arising out of any claim for infringement of intellectual property rights. Entrant agrees and understands that Contest Entries will be made available to the public, including but not limited to posting on the Internet. Whether or not any Contest Entry is published on the Internet, Sponsor does not guarantee any confidentiality with respect to any Contest Entry. Sponsor shall have the right to reproduce, copy, broadcast, edit, adapt and publish any or all of the Contest Entries, and may use them in any media whatsoever throughout the world, without limitation, for any and all advertising, promotions, and other purposes of trade, without attribution or compensation to the Entrant, his/her successors or assigns, or any other entity. Submitting a Contest Entry in connection with this Promotion constitutes your irrevocable assignment, conveyance and transference to Sponsor of any and all right, title and interest, and all residual interests in the Contest Entry including, without limitation, all copyrights and any renewals and extensions thereof. Sponsor, in its sole discretion, may feature any Contest Entry submitted in this Promotion at any time during, or after, the Promotion Period on any related websites, in any promotional materials, whether related or un-related to the Promotion, and at any other location, whether physical or online, that Sponsor, in its sole discretion, deems appropriate and necessary for the operation and promotion of this Promotion. In addition, each Entrant warrants that any so called “moral rights” in the Contest Entry have been waived. Contest Entries must be suitable for presentation in a public forum, in sole determination of judges and/or Sponsor.

2. Prizes:

Instant Win Sweepstakes Prizes and Prize Notification: There will be a total of three hundred and fifty-three (353) random, pre-determined computer-generated Instant Win Sweepstakes winning times during the Promotion Period. If your Entry is the first one received on or just after one of those predetermined times, you will be eligible to win the Promotion Prize (as defined below) for that time period, subject to meeting the eligibility requirements provided herein, and will be notified immediately on-screen. All Entries are subject to verification, confirmation and compliance with these Official Rules. Odds of winning a Prize will depend on the time your Entry is received and the total number of eligible Entries received. Limit one (1) Instant Win Sweepstakes Prize per Entrant and per email address.

How to Claim Instant Win Sweepstakes Prizes: If you have been notified on-screen that you are a winner, your Instant Win Sweepstakes Prize will be delivered to the address you provided upon registration. Sponsor is not responsible for programming, coding, or other web production errors and Sponsor may rescind, cancel or revoke the Promotion based on any such error without liability at its sole discretion. If by reason of programming or other error, more Promotion Prizes are claimed than the number set forth in these Official Rules, all persons making purportedly valid claims will be included in a random drawing to award the advertised number of Promotion Prizes available. No more than the advertised number of Promotion Prizes will be awarded. By participating, Entrants agree to abide by and be bound by the Official Rules and all decisions of Sponsor and to waive any right to claim ambiguity in these Official Rules. All properly claimed Promotion Prizes will be awarded and delivered to verified winners.

Party Master Contest Winner Selection Process:

Finalist Selection: All accepted Submissions will be posted on the Website between December 1, 2009 and February 1, 2010 and can be voted upon during the Contest Entry Period. The ten (10) Submissions receiving the highest number of votes as of 11:59 p.m. EST on February 1, 2010, will be selected as the top ten (10) Finalists (“Finalists”). You may vote up to (10) times per day during the Contest Entry Period; however, you cannot vote for the same Submission more than once per day.

Winner Selection: Beginning at 12:01 am EST February 2, 2010 and ending at 11:59 p.m. EST on February 3, 2010 the Contest Prize Winners (“Contest Prize Winners”) will be selected by a panel of judges (“Judges”) designated by Sponsor based on the judging criteria (“Judging Criteria”) set forth below from among the ten (10) Finalists. The Judges, whose decisions will be final, shall judge the Finalists Submissions according to the following Judging Criteria:

• 50% based on creativity
• 25% based on originality
• 25% based on use of Tyson products

The Contest Grand, First and Second Place Winners will be announced on the website immediately following confirmation and the execution of any required documents.

Contest Prizes:

The Grand Prize Trip includes: Round-trip coach air transportation for two from the major US gateway airport nearest the winner’s residence to any city in the continental United States where a regularly scheduled Professional Football Game is being held, two, (2) nights first-class hotel accommodations (double occupancy), and tickets to the Professional Football Game. The Grand Prize Trip winner is responsible for transportation to and from the major US gateway airport and his/her residence. All travel arrangements must be made by Sponsor or Sponsor's agent. Winner of the Grand Prize Trip must arrange travel at least 14 days in advance and winner and his/her travel companion must travel together on the same itinerary. Exact travel times are subject to availability. All other expenses not specifically identified in these Official Rules are the sole responsibility of the winner. Taxes on and in connection with all prizes are the sole responsibility of each winner. A Participant eligible to win a Grand Prize Trip will be required to execute an Affidavit of Eligibility, a Liability Release (where legal), and a Publicity Release (“Affidavit/Release”), except where prohibited. If the winner of the Grand Prize Trip is a minor, his/her travel companion must have reached age of majority in his/her state of residence and will be required to execute and return a liability/publicity release (unless prohibited by law) prior to the date of travel. If a potential winner is a minor in his/her jurisdiction of primary residence, potential winner's parent/legal guardian must execute all documents and agree to all obligations and undertakings required of the potential winner in these Official Rules, both on behalf of himself/herself and the potential winning minor. Failure to comply with these requirements may cause the prize to be forfeited and awarded to an alternate winner. Prize may be awarded in the name of, or to, the parent/legal guardian of a minor winner. If air travel is not needed, in the sole opinion of the Sponsor ground transportation may be substituted for the air travel, and there will be no cash alternative. If the winner of the Grand Prize Trip chooses to not take a travel companion, then the travel companion elements will be forfeited and the remaining elements shall constitute full satisfaction of the Grand Prize Trip. Travel changes will not be accepted after reservations have been booked. Promotion Entities are not responsible if the Grand Prize Trip, or any part thereof, cannot be awarded due to travel cancellations, delays or interruptions due to any acts of God, action(s), regulation(s), order(s) or request(s) by any governmental or quasi-governmental entity (whether or not the action(s), regulations(s), order(s) or request(s) prove(s) to be invalid), equipment failure, terrorist acts, earthquake, war, fire, flood, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, or any other cause beyond Sponsor’s sole control, and shall not be responsible for any cancellations, delays, diversions or substitutions or any act or omissions whatsoever by the air carrier(s), hotel(s), or other transportation companies or any other persons providing any of these services and accommodations to passengers including any results thereof such as changes in services or accommodations necessitated by same. The Promotion Entities will be held harmless for any liability, loss, injury or damage, including, without limitation, personal injury, death or damage to personal or real property, to entrant or any other person or entity due in whole or in part, directly or indirectly, by reason of the acceptance, possession, use or misuse of any prize (including any travel or activity related thereto).

The total value of all prizes available to be won in this Promotion is $27,625USD.

General: Promotion Entrants agree to these Official Rules and to all decisions of Sponsor, or its designated agent, which are final and legally binding in all respects, and further agrees that all prizes are awarded upon the condition that the Promotion Entities or any of their respective parent companies, subsidiaries, officers, directors, partners, principals, partnerships, employees or agents shall have no liability whatsoever and shall be held harmless for any injuries, losses, or damages of any kind to persons or property, including death, sustained, in whole or in part, directly or indirectly, in connection with or resulting from acceptance, possession or use/misuse of any prize, or participation in this Promotion or participation in any Promotion-related activities and further acknowledges that said parties have neither made, nor are in any manner responsible or liable for, any warranty, representation or guarantee, expressed or implied, in fact or in law, relative to any prize, including but not limited to its merchantability, quality, mechanical condition or fitness for a particular purpose. As a condition of participating, Entrants agree that (1) under no circumstances will Promotion Entrant be permitted to obtain awards for, and Promotion Entrant hereby waives all rights to claim punitive, incidental, consequential or any other damages, other than for actual out-of-pocket expenses, (2) all causes of action arising out of or connected with this Promotion, or any prizes awarded, shall be resolved individually, without resort to any form of class action and shall be resolved exclusively by arbitration under the rules of the American Arbitration Association; and (3) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion, but in no event attorney’s fees.

Any personal information received by Sponsor in connection with Registration, is subject to the Tyson Foods, Inc. online privacy policy, which can be reviewed at http://www.tyson.com/Consumer/PrivacyPolicy.aspx. Any personal information collected will be used by Sponsor and its agent(s) solely to administer this Promotion and will not be used or disclosed for any other purpose without the consent of the applicable Promotion Entrant unless required by law. In the event of any discrepancy between the privacy policy and these Official Rules, the privacy policy will govern and control. By entering this Promotion, each Promotion Entrant agrees that Sponsor or Administrator have the right to contact Promotion Entrant by telephone, email or regular mail.

Sponsor reserves the right, in its sole discretion, without prior notice and at any time, to cancel, terminate or suspend this Promotion, or any portion thereof, should virus, bugs, non-authorized human intervention or other causes beyond the control of Sponsor corrupt or impair the administration, integrity or security of the Promotion (including but not limited to attempts to hack into or otherwise tamper with underlying source code/programming of the Promotion). The Promotion Entities and their respective parent companies, subsidiaries, officers, directors, partners, principals, partnerships, employees or agents are not responsible for hardware, software or telephone failures of any kind, traffic congestion on the Internet or at any website or any combination thereof, lost network connections, incomplete, garbled or delayed computer transmissions, whether caused by Sponsor, users or by any of the equipment or programming associated with or utilized in the Promotion or by technical or human error which may occur and/or which may damage a user’s system or limit a Promotion Entrant's ability to participate and/or redeem prizes in the Promotion. Sponsor reserves the right at its sole discretion, to disqualify any individual who tampers with the Promotion, violates these Official Rules or otherwise engages in fraudulent or offensive conduct with respect to this Promotion. Caution: Any attempt to deliberately damage any website or undermine the legitimate operation of the Promotion is a violation of criminal and civil laws and should such an attempt be made, Sponsor reserves the right to seek damages from any such Promotion Entrants to the fullest extent of the law.

The laws of the State of Arkansas shall exclusively govern the Promotion. By accepting prizes, winners agree that Sponsor may use each winner's name, likeness or photograph, without limitation, for promotional purposes without further consideration or payment, where permitted by law. All expenses not specified herein are the winners’ responsibility. Taxes on and in connection with all prizes are the sole responsibility of each winner. Sponsor, or its designated agent, may issue a Form 1099 to each winner for any prize with an ARV of $600 or more. Normal internet access and phone/usage charges imposed by your on-line/phone service will apply. Prizes are not transferable. Sponsor reserves the right to substitute a prize of equal or greater value if an advertised prize becomes unavailable. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. Should any provision of these Official Rules be deemed unenforceable or invalid, the other provisions of these Official Rules shall remain in full force and effect. In the event that this Promotion is challenged by any legal or regulatory authority (including but not limited to any federal or state governmental authority), Sponsor reserves the right to discontinue or modify the Promotion, as applicable, or to disqualify any Promotion Entrants residing in any affected geographic areas, as applicable. In such event, Sponsor shall have no liability to any Promotion Entrants who are disqualified due to such an action.
